Affinity Additional Terms

These Affinity Additional Terms supplement and form part of Canva's Terms of Use⁠(opens in a new tab or window), Subscription Services Agreement(opens in a new tab or window) or Enterprise Services Agreement(opens in a new tab or window) (as applicable) (the “Agreement”) and apply to your download and use of Affinity Software.

If you do not accept these Affinity Additional Terms, do not download or use the Affinity Software. By downloading and/or using the Affinity Software you agree to these Affinity Additional Terms and the Agreement.

Any capitalised terms used but not defined in these Affinity Additional Terms shall have the meanings given to them under the Agreement.

In the event of any conflict between these Affinity Additional Terms and the Agreement, these Affinity Additional Terms shall prevail to the extent of such conflict.



Licence


Affinity Software means the ‘Affinity’ photo editing, graphic design and page layout software provided under these Affinity Additional Terms, such as by way of download or through any other media or format, including any software, code, or interfaces and whether owned by Canva, its affiliates, or by a third party.

Affinity-Licensed Content means any Affinity owned or controlled content, text, documents, fonts, branded drawing tools, graphics, images, video, audio, templates, or similar made available to you by Affinity within the Affinity Software.


Your Rights and Permitted Use

1. You are licensed to use the Affinity Software as expressly set out in these Affinity Additional Terms from your first use of the Affinity Software until termination of this licence in accordance with these Affinity Additional Terms or the Agreement.

2. No rights in the Affinity Software are sold to you; your right is solely to use the Affinity Software in accordance with these Affinity Additional Terms and the Agreement. All rights not expressly granted to you are reserved to Canva and its affiliates.

3. The Affinity Software is available in three formats to suit different Devices: Mac, Windows and iPad. You are responsible for ensuring your hardware meets the necessary requirements to run the Affinity Software. For detailed hardware requirements, see here.(opens in a new tab or window) It is your responsibility to ensure the Affinity Software performs the purpose for which it is required and will function properly in the environment in which it is to be used. Its use is at your sole risk and you are responsible for any cost of repair, corrections or servicing. You acknowledge installation of the Affinity Software may affect the usability of third party software or third party services.

4. In addition to the provisions in the Agreement, neither Canva, nor its affiliates or licensors make any representations or warranties that:

a) The Affinity Software or any Affinity-Licensed Content available for downloading from Canva or its affiliates or licensors is free from viruses or any other contamination or destructive features; or

b) The Affinity Software will continue to be made available or maintained or that any defects will be corrected; or

c) The Affinity Software will be compatible with any third party software, third party services, or Affinity-Licensed Content or Canva services; or

d) The Affinity Software or Affinity-Licensed Content will be available or accessible in any language or from any location or are appropriate for use in any location.

5. The licence granted to you to use Affinity Software is limited, non-transferable and non-exclusive. Except to the extent any rights cannot be excluded by law, you are permitted to download, install, use and run the Affinity Software:
(i) if you are a private individual, on each Device that you personally own or control; and
(ii) subject to section 21 (titled “Multiple User Licence”) of these Affinity Additional Terms, if your Agreement allows multiple Users to access the Affinity Software, either: (a) by a single individual on each of the Device(s) that they use that you own or control, or (b) by multiple individuals on a single shared Device that you own or control.

6. Except to the extent expressly allowed in these Affinity Additional Terms you have no right to rent, lend, lease, sell, supply, transfer or distribute, transfer, redistribute or sublicense the Affinity Software.

7. Where you have obtained the Affinity Software, or access the Affinity Software, through:

a) the Microsoft Store, you must comply with all terms of use applicable to the Microsoft Store including the STANDARD APPLICATION LICENSE TERMS (https://www.microsoft.com/en-aq/store/standard-application-license-terms(opens in a new tab or window));

b) the Apple App Store, you must comply with all terms of use applicable to the Apple App Store including the Apple Media Services Terms and Conditions which can be found in the Apple App Store Terms and Conditions (https://www.Apple.com/legal/itunes/ww/(opens in a new tab or window));

c) In the event of any conflict between any of these terms and conditions and this License, this License shall take priority.

8. The Affinity Software is protected by international copyright and patent laws. All title and intellectual property rights, including copyright, in the Affinity Software are owned by Canva, its affiliates or its licensors.

9. You must not use the Affinity Software in a way that may infringe the copyright of a third party, such as by copying, reproducing, adapting, publishing, issuing copies of, communicating, exhibiting, transmitting or distributing copyright materials without permission of the copyright owner. It is your responsibility to ensure that your use of the Affinity Software does not infringe the rights of third parties.

10. The Affinity Software may be supplied in different versions or subject to additional specific terms. For example, the Affinity Software may be supplied:
a) as a trial, locked, demonstration or other limited use version (“Trial Version”); or
b) as a OEM/bundle purchase version or other version dependent on status or intended use (“Customer Specific Version”); or
c) as part of a volume or maintenance Licence or as part of use of other services provided by Canva or its affiliates (“Volume Licence”).
In the case of all Trial Versions, Customer Specific Versions, Volume Licences or software supplied under other specific arrangements, then these Affinity Additional Terms will still apply, but use of the Affinity Software as a Trial Version, Customer Specific Version, or Volume Licence shall be subject to any additional terms on which such Affinity Software is supplied including any terms set out on the website from which the Affinity Software is downloaded or on accessing the Affinity Software or otherwise as agreed with Canva. In the case of Trial Software, these Affinity Additional Terms will terminate automatically upon the expiration of any period specified as part of the trial or demonstration. In the case of Customer Specific Software, these Affinity Additional Terms will only take effect if and to the extent at the time of purchase you satisfy any stipulated status requirements; if you are in any doubt as to whether your status at the time of purchase entitles you to use a Customer Specific Version then please contact Canva customer service for further information in advance of making a purchase.

11. Except to the extent necessary for the normal and permitted use of the Affinity Software or to the extent that such right cannot be excluded by law or to the extent required to be permitted by licensing terms governing use of open source components that may be included with the Affinity Software, you have no right to make a copy of any of the Affinity Software, or of any algorithms or code or other material relating to the Affinity Software.

12. Where you are supplied with any updates, upgrades or new versions of the Affinity Software, these Affinity Additional Terms and the Agreement will apply to the use of such updates, upgrades or new versions unless new terms accompany such updates, upgrades or new versions, in which case the new terms will apply to all use of the updated, upgraded or new version of the Affinity Software. Nothing in these Affinity Additional Terms or the Agreement requires Canva or its affiliates to supply you with updates, upgrades or new versions.

13. Canva (or its affiliates or licensors) may suspend, remove, modify or disable (or impose limits on) access to the currently available Affinity Software and/or any Affinity-Licensed Content at any time without notice and without liability to you.

14. You and your Users may use and develop your own content when using the Affinity Software (User Content or Customer Material, as defined in the applicable Agreement), such as images, and files, which you have full control and responsibility over. You represent and warrant that you own all rights, title, and interest in and to your User Content/Customer Material or that you have otherwise secured all necessary rights in your User Content/Customer Material as may be necessary to permit the access, use and distribution of the Affinity Software as contemplated by these terms and the Agreement. For the avoidance of doubt, your and your Users’ use of the Affinity Software, Affinity-Licensed Content and User Content/Customer Material must comply with Canva’s Acceptable Use Policy. 15. From time to time, Canva or its affiliates may make available to you Affinity-Licensed Content within the Affinity Software for your use in developing User Content and/or Customer Material.

16. Subject at all times to your compliance with these Affinity Additional Terms and the Agreement, Canva or its affiliates (as applicable) grant you a perpetual, non-exclusive, royalty-free, worldwide license to use, display or access the Affinity-Licensed Content made available to you as part of the Affinity Software.

17. For the purposes of the license granted in Section 16 of these Affinity Additional Terms, Affinity-Licensed Content does not include:

a) open source materials;

b) content comprising third party software (as set out in the “licences.rtf” file included with the Affinity Software and/or available online here(opens in a new tab or window)); or

c) content owned or controlled by third parties which is made available within the Software by way of a plug-in or on an API basis.

18. Neither Canva nor its affiliates are not responsible for any open source materials, third party software or third party content made available within the Software by way of a plug-in or API and any access to such content provided by Canva is provided solely as a convenience and the provision of such access does not imply any endorsement by Canva. This material is governed by its own terms and you are responsible for complying with the terms applicable to such materials.

19. For the avoidance of doubt, when you login to the Affinity Software with your Canva account, you acknowledge Canva’s Privacy Policy.(opens in a new tab or window)


Educational Use

20. For the avoidance of doubt, if you are an Educational Institution, in addition to our Terms, your use of the Affinity Software is subject to the Agreement and/or the Canva for Education Additional Terms.(opens in a new tab or window)


Multiple User Licence

21. If your Agreement allows multiple Users within your team to access the Affinity Software, then:

a) Each User may use the Affinity Software on any Device(s) which are owned or controlled by you including portable Device(s) that are owned or controlled by you;

b) You are permitted to make copies of the Affinity Software, for back-up or archival purposes.

c) You agree to effect and maintain reasonable security measures to safeguard all copies of the Affinity Software in your control from access and/or use by unauthorised persons and/or for use for unauthorised purposes. You will keep an accurate and up to date record of all Users and copies of the Affinity Software used by you and/or within your control and provide Canva with a copy upon request. Canva or its authorized agent will be entitled to enter onto your premises with reasonable notice to audit your use of the Affinity Software. This provision will survive termination of this License.


Termination

22. On termination or expiry of the Agreement or your or your Users’ right to access the Affinity Software, the licence granted under these Affinity Additional Terms to download and use the Affinity Software terminates automatically and you and your Users must cease all use of the Affinity Software and delete all copies in your possession.

23. Any provision of these Affinity Additional Terms which expressly or by implication is intended to come into or continue in force on or after termination of this Affinity Additional Terms shall remain in full force and effect.


Government End Users

24. The Affinity Software and related documentation are "Commercial Items", as that term is defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation", as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights as are granted to all other end users pursuant to the terms and conditions herein. MPEG-2 Notice

25. To the extent that the Affinity Software contains MPEG-2 functionality, the following provision applies: ANY USE OF THIS PRODUCT OTHER THAN CONSUMER PERSONAL USE IN ANY MANNER THAT COMPLIES WITH THE MPEG-2 STANDARD FOR ENCODING VIDEO INFORMATION FOR PACKAGED MEDIA IS EXPRESSLY PROHIBITED WITHOUT A LICENCE UNDER APPLICABLE PATENTS IN THE MPEG-2 PATENT PORTFOLIO, WHICH LICENCE IS AVAILABLE FROM MPEG LA, L.L.C., 250 STEELE STREET, SUITE 300, DENVER, COLORADO 80206.
